1. Engagement and Scope
Welcome to Ironclad Scribe. These Terms and Conditions govern your use of our expert contract drafting services. By engaging with our firm, you acknowledge that you have read, understood, and agreed to be bound by these ironclad standards of professional conduct.
Our services include, but are not limited to, the drafting, review, and negotiation of commercial agreements, intellectual property assignments, and regulatory compliance documentation. Each engagement is specific to the scope defined in your individual Quote or Statement of Work.
2. No Lawyer-Client Relationship
Unless expressly stated in a signed formal Engagement Letter for Legal Representation, the provision of document drafting services by Ironclad Scribe does not constitute a solicitor-client relationship. Our services are focused on technical document provision and compliance drafting.
3. Intellectual Property
All templates, proprietary methodologies, and structural frameworks used by Ironclad Scribe remain the exclusive intellectual property of the firm. Upon full payment of all undisputed fees, the client is granted a non-exclusive, perpetual license to use the final delivered documents for their intended business purpose.
4. Limitation of Liability
To the maximum extent permitted by the laws of England and Wales, Ironclad Scribe shall not be liable for any consequential, indirect, or incidental damages arising from the use of drafted materials, provided that such materials were used outside the specific context for which they were drafted.
5. Termination of Services
Either party may terminate the engagement with written notice. In the event of termination, the client shall remain responsible for all professional fees incurred for work completed up to the date of notice. Ironclad Scribe will provide all current drafts in their state of progress at the time of termination.
6. Governing Law
These terms shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes shall be subject to the exclusive jurisdiction of the courts located in London.
